Terms of Sale and Delivery for Ordering Goods from Procano AS


  1. General

    These terms of sale and delivery apply to all offers, sales, and deliveries made via Procano AS, regardless of ordering channel (webshop, telephone, email, service desk, or other channels), unless otherwise agreed in writing between the parties. By ordering goods from Procano AS, the customer accepts these terms.


  2. Prices

    All prices are quoted in Norwegian kroner and exclude value-added tax (VAT), unless otherwise specifically stated. Prices may vary based on changes in exchange rates, duties, and taxes. Procano AS reserves the right to adjust prices in the event of price increases from suppliers or other market conditions.

  3. Payment

    Payment must be made by the date specified on the invoice, or at the time of ordering unless otherwise agreed. Procano AS accepts the following payment methods: invoice.


    In case of delayed payment, late payment interest will be added in accordance with applicable law, as well as any collection fees. The customer does not have the right to set off their own claims unless this has been agreed in writing with Procano AS.


    In the event of substantial payment default, Procano AS has the right to terminate the purchase and halt all deliveries as well as claim compensation for financial loss due to the default.

  4. Retention of Title

    Procano AS retains ownership of all delivered goods until the full purchase price, including delivery costs, interest, and fees, has been paid. Reference to the provisions of the Pledge Act sections 3-14 and 3-22.

  5. Delivery

    Delivery is made from the warehouses of Procano AS's distributors on "ex works" terms, unless otherwise agreed. The delivery time is estimated based on availability, and Procano AS cannot be held responsible for delays that are beyond our control. The risk for the goods is transferred to the customer when they are delivered from the manufacturer's or distributor's warehouse. After this point, Procano AS is not responsible for any damage or loss.


  6. Returns and Ordering Errors

    Goods ordered from Procano AS can only be returned after written complaint and agreement with Procano AS. Returns apply only to stock items in unopened original packaging and may be subject to a return fee of 15% of the invoice value, but a minimum of NOK 350. Special orders cannot be canceled or returned.


  7. Defects and Complaints

    The customer is obliged to inspect the goods upon delivery to identify any errors or defects. Any defects must be reported in writing to Procano AS within 7 days of the delivery date. Procano AS forwards the complaint to the manufacturer, and all further processing is carried out according to the manufacturer's warranty conditions. The manufacturer determines whether the product will be repaired, replaced, or credited. Procano AS has no independent assessment or decision-making authority in such matters and only acts as an administrative intermediary between the customer and the manufacturer.


  8. Product Information and Changes

    Product information from Procano AS is provided subject to errors or changes. Procano AS reserves the right to change the products without notice, as long as it does not result in functional disadvantages for the customer.


  9. Liability

    Procano AS disclaims any liability for the product's characteristics, performance, defects, or deficiencies and cannot be held responsible for direct or indirect losses, including operational losses, loss of profit, or economic consequences.


  10. Disputes

    Any dispute between Procano AS and the customer shall be resolved according to Norwegian law with the Oslo District Court as the venue, unless otherwise agreed.


  11. Privacy

    Procano AS processes personal data in accordance with applicable privacy legislation. Information about our processing of personal data can be found in our privacy policy, available on our websites.


  12. Force Majeure

    Procano AS is not responsible for delays or failure to fulfill agreements due to circumstances beyond our control, including but not limited to, natural disasters, war, strikes, or pandemics.


  13. Compliance with Laws

    The customer is responsible for complying with all relevant laws and regulations, including export and import regulations for purchased products.


  14. Confidentiality

    Procano AS and the customer commit to keeping confidential information arising in connection with the agreement private and ensuring that such information is not shared with third parties without consent.


  15. Changes to Terms

    Procano AS reserves the right to change these terms of sale and delivery without notice. Any changes will be published in relevant channels, and the customer is deemed to have accepted the changes upon the next order.
